Terms of Service

These terms cover the use of this website and the general basis on which we provide services. A signed engagement agreement always takes precedence over anything here.

Who we contract with

We provide services to businesses, not consumers. The contracting entity is DATA SOLUTIONS GLOBAL OÜ, registry code 16952049, registered at Narva mnt 5, 10117 Tallinn, Estonia. Full details are in our Imprint.

This website

The content here is a description of what we do. It is not an offer, a quotation, a warranty, or professional advice, and nothing on it creates a contract. We may change it at any time.

How work is agreed

Nothing begins until scope is written down and you have approved it. For ongoing support that is a retainer agreement stating scope, response targets by severity, and what falls outside it. For a project it is a fixed scope with deliverables and a price. Where scope is genuinely unpredictable we work hourly, and say so up front.

What we commit to

• We will perform the agreed work with reasonable skill and care, to normal professional standards for this industry.
• We will meet the response targets written into your agreement. We do not advertise response times we cannot hold.
• We will tell you promptly when something we recommended turns out to be wrong.

We do not warrant that any system will be free of faults or interruption. Anyone who tells you otherwise about IT infrastructure is selling something.

What we need from you

Timely access, accurate information about the estate, a named decision-maker, and approval of change windows. Where we cannot proceed because access or a decision is outstanding, timelines move accordingly.

Fees and payment

Retainers are invoiced monthly in advance unless agreed otherwise; project work is invoiced against milestones. Invoices are payable within the period stated on them. Sustained non-payment lets us suspend work after written notice; we will not withhold your credentials or documentation as leverage.

Ownership and documentation

On full payment, deliverables we create specifically for you, and their intellectual property, are yours. Our pre-existing tools, libraries and know-how remain ours, and you get a licence to use them as part of the deliverable. Credentials, configuration and runbooks are yours throughout and are handed over on request, not only at the end.

Confidentiality

We keep your information confidential and use it only to do the work. We are happy to sign a mutual non-disclosure agreement before you tell us anything about your estate.

Data protection

Where we process personal data on your behalf, you are the controller and we are the processor, under a data processing agreement. See our Privacy Policy.

Subcontractors

We may use subcontractors for specialist work. We remain responsible to you for it, and they are bound by the same confidentiality terms.

Liability

Neither party excludes liability where the law does not allow it. Otherwise, our total liability under an engagement is limited to the fees paid under that engagement in the twelve months before the claim, and we are not liable for indirect or consequential loss, loss of profit, or loss of data where a working backup that we were contracted to maintain would have prevented it. Where backup and recovery is expressly not in your scope, that exclusion cannot be relied on against us.

Term and termination

Retainers run month to month unless a longer term is agreed, and either side may end them on the notice period in the agreement. Either side may end an engagement immediately for material breach that is not remedied after written notice. On termination we complete offboarding: access handed over, documentation delivered, our access removed.

Governing law

These terms and any engagement are governed by Estonian law. The courts of Estonia have exclusive jurisdiction, with Harju County Court as the court of first instance, unless your engagement agreement says otherwise.
